Terms of Service

These Terms of Service ("Terms") govern your access to and use of OutageScout (the "Service"), operated by Green West LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 16 years old and capable of forming a binding contract to use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete registration information and to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

3. The Service

OutageScout is a network uptime monitoring platform. You install lightweight software agents ("Scouts") at your locations that periodically check in with our servers. When a Scout stops checking in, the Service detects a potential outage and alerts designated users.

3.1 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

3.2 Service Plans

The Service is offered under various plans (free and paid) with different feature sets, device limits, and check-in intervals. Plan details and pricing are described on our Pricing page and may change with reasonable notice.

4. Your Data

You retain ownership of all data you submit to the Service, including location information, device configurations, and organizational data. By using the Service, you grant us a limited license to process this data solely for the purpose of providing and improving the Service.

You are responsible for ensuring you have the right to submit any data you provide and that your use of the Service complies with applicable laws.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws
Attempt to gain unauthorized access to the Service, other users' accounts, or our systems
Interfere with or disrupt the Service or servers connected to it
Use the Service to transmit malware, viruses, or other harmful code
Reverse engineer, decompile, or disassemble any part of the Service
Resell, sublicense, or redistribute the Service without our written consent
Use automated means to scrape, crawl, or extract data from the Service beyond normal API usage
Impersonate another person or misrepresent your affiliation with any entity

6. Organizations and Multi-User Access

Organization administrators are responsible for managing members, roles, and permissions within their organization. By inviting users to your organization, you grant them access to organizational data at the permission level you assign.

We are not responsible for actions taken by members you have invited to your organization.

7. Intellectual Property

The Service, including its design, code, branding, documentation, and all related intellectual property, is owned by Green West LLC. These Terms do not grant you any rights to our trademarks, logos, or brand features.

The Scout agent software is provided under a separate license agreement included with the software.

8. Limitation of Liability

To the maximum extent permitted by law:

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
We do not warrant that the Service will detect all outages, that alerts will be delivered without delay, or that the Service will meet your specific requirements.
In no event shall Green West LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.
Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or fifty dollars ($50), whichever is greater.

9. Indemnification

You agree to indemnify and hold harmless Green West LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Termination

You may close your account at any time through your account settings. We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice.

Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period as described in our Privacy Policy.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page and updating the "Last Updated" date. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of Oregon, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Oregon.
